1. Accounts, brands and users
1.1 Your account. You create an organization account and one or more brands inside it. A brand is a workspace for one brand's content, settings, connections and data. You may use the Service for your own brands and, if you provide services to others, for brands you manage on their behalf, provided you have their permission to connect their accounts and data.
1.2 Users. You decide who can use the Service under your account ("Users"), and you assign each User a role per brand. You are responsible for your Users' actions, for keeping account information accurate, and for removing access for people who should no longer have it. Each User must have their own login, and Users must keep their credentials confidential.
1.3 External reviewers. You may share content with people outside your account through review links. You decide what to share and with whom, and you are responsible for that sharing.
1.4 Eligibility. The Service is for businesses and professionals. Users must be at least 18 years old.
1.5 Security. Tell us promptly at semanticadmin+security@gmail.com if you believe an account has been compromised or the Service has a security problem.
2. The Service
2.1 What we provide. Semantic is software that uses AI agents to help your team research, plan, write, review, publish, refresh and measure web content. We will provide the Service as described in our documentation and your order, and we may improve or change it over time. We will not materially reduce the core functionality of a paid plan during its current term. Features we label beta, preview or early access are provided as is, may change or end, and are excluded from any service commitments.
2.2 AI output. The Service produces drafts, edits, research, recommendations, images, summaries and other output with AI models ("Output"). AI can be wrong, incomplete or out of date, even with the Service's evidence checks and review steps. You are responsible for reviewing Output and deciding what to approve and publish. You are the publisher of content you put on your sites and channels, and you are responsible for making sure it is accurate, lawful and appropriate, including claims about products, health, finance, law and safety, and any disclosures your industry requires.
2.3 Approvals and live sites. By default, the Service does not publish or change anything on a live site without approval from a User with that permission. Your Admins control these approval settings for each brand. If you reduce or turn off approvals, you accept responsibility for changes the Service then makes under those settings.
2.4 Services you connect, and your own keys. The Service works with third-party services that you choose and connect, such as AI model providers (for example Anthropic, OpenAI, Google and xAI), web search (Brave Search, DataForSEO), SEO tools (Semrush, Ahrefs), Google Search Console and Google Analytics, content management systems (for example WordPress, Webflow and Shopify) and chat tools. For these "Third-Party Services":
- you supply your own accounts and API keys, you pay the providers directly under your agreements with them, and you must follow their terms and usage policies;
- you authorize us to access and use them on your behalf as needed to run the Service, including sending them the content and instructions each task requires;
- usage costs shown in Semantic, and the budgets you set, are estimates to help you manage spend; your provider's invoice is the record of what you owe it; and
- we do not control Third-Party Services and are not responsible for their availability, changes, accuracy, security, costs or handling of your data. If one changes or stops working with the Service, we may change or remove the related feature.
2.5 Optional automation of other websites. Some optional features operate websites the way a person would, in an isolated browser, because the provider offers no API: requesting indexing in Google Search Console, and publishing to a content management system without an API. These features are off until an Admin turns them on. Automating a third party's interface may breach that party's terms, can be blocked or trigger security checks, and can stop working when the interface changes. By turning on such a feature, you confirm you are authorized to use the account involved and you accept these risks, including any action the third party takes against that account. We may pause or end these features at any time.
2.6 Crawling and data sources. You may point the Service's crawler, and connect analytics and other data sources, only for sites and properties that you own or are authorized to use.
3. Your data, our team's access, and acceptable use
3.1 Customer Data. "Customer Data" means the content, files, brand information, settings and data that you and your Users put into the Service or that the Service retrieves from your connected accounts, plus the Output generated for you. As between you and us, you own Customer Data. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Service for you, and as described in our Privacy Policy. We do not use Customer Data to train AI models, and we do not sell it.
3.2 Your responsibilities for Customer Data. You confirm that you have the rights and permissions needed to provide Customer Data and to connect each account you connect, and that our processing of it as these Terms allow will not violate the law or anyone's rights. The Service is not designed for sensitive personal information (such as health, financial or government ID data) or your own customers' personal information, and you agree not to upload it.
3.3 Export and deletion. An Admin can export a brand's data at any time. Deleting a brand starts a 30-day grace period, after which its data is deleted. After your subscription ends, you may export your data for 30 days, after which we delete it, except where the law requires us to keep it. Our Privacy Policy explains retention in more detail.
3.4 Operator access. You may ask Semantic's team to work inside a brand for you ("Operator Access"). An Admin grants it per brand, chooses the role, may set an expiry, and may revoke it at any time. Our operators act only within the role you grant and your instructions, every action they take is logged under their own name, and they remain bound by our confidentiality obligations. Approvals and publishing decisions made by our operators under a role you granted count as your decisions under these Terms. Fees for operator services are set in your order.
3.5 Usage data. We may collect and use data about how the Service is used and performs, such as feature usage, error reports and aggregated statistics that do not identify you, your brands or any person, to operate, secure and improve the Service.
3.6 Feedback. If you send us ideas or suggestions, we may use them without obligation to you.
3.7 Acceptable use. You and your Users must not, and must not let others:
- use the Service in violation of law, or to infringe or misappropriate anyone's intellectual property, privacy or publicity rights;
- create or publish content that is defamatory, fraudulent, deceptive, harassing, hateful or sexually explicit, or that exploits minors;
- generate spam, link schemes, fake reviews, doorway pages or other content meant to manipulate search engines or AI answer engines in violation of their published policies, or impersonate any person or organization;
- connect, crawl, publish to or automate any site or account you are not authorized to use, or use the Service to scrape other sites beyond what the Service's features are designed to do;
- violate the terms or usage policies of a Third-Party Service you connect, including an AI provider's usage policy;
- attempt to access another customer's data, probe or bypass the Service's security or permission controls, or interfere with its operation;
- try to override the Service's safety guards, for example by instructing agents to ignore approval steps;
- reverse engineer the Service except as the law allows, or use it to build a competing product; or
- resell or provide the Service to third parties except as these Terms allow for brands you manage.
We may suspend access to the extent reasonably needed to stop a violation or protect the Service, other customers or third parties. Where practical, we will tell you first and give you a chance to fix the problem.
4. Fees, term, ownership and confidentiality
4.1 Fees. You will pay the fees in your order or on our pricing page for your plan, in US dollars, in advance, monthly or annually. Fees are non-refundable except as these Terms or the law require. Fees do not include taxes, which you are responsible for (other than taxes on our income). We may change fees for a renewal term by giving you at least 30 days' notice. If a payment is more than 15 days late, we may suspend the Service after notice. Charges from your Third-Party Services are billed to you by those providers, not by us.
4.2 Term and renewal. These Terms start when you first accept them and continue until all subscriptions end. Subscriptions renew automatically for the same length unless either side gives notice of non-renewal at least 30 days before renewal. You can cancel in account settings or by emailing semanticadmin+billing@gmail.com.
4.3 Termination. Either party may terminate these Terms if the other materially breaches them and does not fix the breach within 30 days of written notice. We may also terminate or suspend immediately for serious or repeated violations of section 3.7, or if required by law. On termination, your right to use the Service ends, section 3.3 (export and deletion) applies, and any sections that by their nature should survive will survive.
4.4 Our property. We and our licensors own the Service, the Site, the software, templates and documentation, and all improvements to them. Except for the rights these Terms grant you, no rights are transferred. Semantic's name and logos are our trademarks.
4.5 Your Output. As between you and us, we assign to you any rights we have in Output generated for you. Output may not be unique, other customers may receive similar Output, and some Output may not be eligible for copyright protection. Your rights in Output are also subject to the terms of the AI provider that generated it.
4.6 Self-hosted edition. If you license the self-hosted edition of Semantic, it is governed by its separate license agreement, and not by sections 2 and 3 of these Terms, except where that license says otherwise. In the self-hosted edition you operate the software and control your data.
4.7 Confidentiality. Each party will protect the other's non-public information it receives under these Terms with at least reasonable care, use it only to perform under these Terms, and share it only with people who need it and are bound by similar obligations. This does not apply to information that is public through no fault of the receiving party, already known to it, independently developed, or rightfully received from someone else. A party may disclose confidential information when the law requires, after giving notice where allowed. Customer Data is your confidential information.
4.8 Privacy. Our Privacy Policy explains how we handle personal information. Where we process personal data on your behalf, our Data Processing Addendum, which forms part of these Terms, applies.
5. Warranties, liability and legal terms
5.1 Our commitments. We will provide the Service with reasonable skill and care, maintain reasonable administrative, technical and physical safeguards for Customer Data, and not materially reduce the Service's security during your subscription.
5.2 Disclaimer. Except as stated in section 5.1, the Service, the Site and all Output are provided "as is" and "as available". To the extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not promise that the Service will be uninterrupted or error-free, that Output will be accurate, or that using the Service will achieve any search ranking, traffic, AI-answer visibility or business result.
5.3 Limitation of liability. To the extent the law allows: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if told they were possible; and (b) each party's total liability arising out of these Terms is limited to the amounts you paid us for the Service in the 12 months before the event giving rise to the claim or, if greater, US$5,000. These limits do not apply to your payment obligations, a party's indemnity obligations, or liability for fraud, gross negligence or willful misconduct.
5.4 Indemnity by us. We will defend you against third-party claims that the Service, as we provide it, infringes their intellectual property rights, and pay the resulting damages and costs finally awarded or agreed in settlement. This does not cover claims arising from Customer Data, Output, Third-Party Services, your combination of the Service with other things, or use that breaches these Terms. If such a claim seems likely, we may modify the Service, get you the right to keep using it, or end the affected subscription and refund prepaid fees for the unused period.
5.5 Indemnity by you. You will defend us against third-party claims arising from Customer Data, content you publish, your use of Third-Party Services, or your breach of section 3.7, and pay the resulting damages and costs finally awarded or agreed in settlement.
5.6 Indemnity process. The party seeking defense must notify the other promptly, give it control of the defense and settlement, and cooperate reasonably. No settlement may impose an obligation on the defended party without its consent.
5.7 Governing law and disputes. These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. The state and federal courts located in New Castle County, Delaware have exclusive jurisdiction, and each party consents to them. Either party may seek injunctive relief in any court to protect its intellectual property or confidential information.
5.8 Changes to these Terms. We may update these Terms. If a change is material, we will give at least 30 days' notice by email or in the Service before it takes effect, unless the change is required by law. If you do not agree, you may stop using the Service before the change takes effect, and we will refund prepaid fees for the unused period of your current term. Continued use after that means you accept the updated Terms.
5.9 General. These Terms, together with any order form and Data Processing Addendum, are the entire agreement about the Service. If an order form conflicts with these Terms, the order form wins. Neither party may assign these Terms without the other's consent, except to a successor in a merger, acquisition or sale of substantially all related assets. Neither party is liable for delays caused by events beyond its reasonable control. You will comply with export control and sanctions laws in using the Service. If a provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. The parties are independent contractors. We may name you as a customer.
